Security Policy - Customer order requests and payment information are collected using secure encryption protocols (128 bit, SSL encryption). All information from submitted order requests is stored on a secure server and is only accessed by authorized Proactive Management, Inc. (PMI) personnel. Only authorized personnel have access to ANY personal information concerning a customer at ANY point in PMI's order handling process.
Credit card and check information are confidential and proprietary and are released only in secure settings to our affiliated merchant processing firms and financial institutions. This information is released only to complete transaction payments. Payment processing services used by PMI and our vendors utilize some of the highest payment industry standards for safeguarding sensitive cardholder information. This fact is reflected in that one of our security vendors processes more internet transactions than any other business of its type.

Terms and Conditions of Sale
1. PAYMENT - Unless otherwise stated on the face hereof, all payments shall be due upon receipt of invoice. Upon amounts not paid when due, the customer agrees to pay all collection costs, including litigation and reasonable attorney's fees. A customer collection fee will be charged on all dishonored checks.

2. RETURNS - Proactive Management, Inc. (PMI) may assess a 20% processing fee for all returned services and products. The customer will be advised prior to assessment of this fee.

3. REFUND POLICY - Due to the costs incurred by PMI in fulfilling requests, order cancellations must be made as soon as possible. Once fulfillment of your order request has begun, a full refund will not be possible. Charges will not be refunded for portions of your order request for which processing has begun.

4. TAXES - Unless otherwise stated on the face hereof, stated prices do not include any customs duties, sales, use, excise, value added, federal, state, local or other taxes. Payment of all such duties or taxes shall be paid by the customer, or, the customer shall provide Proactive Management, Inc. with an appropriate tax exemption certificate.

5. RISK OF LOSS - Unless otherwise stated on the face hereof, all shipment's are F.O.B. Proactive Management, Inc.'s St. Louis, Missouri location.

6. NO WARRANTY - NOT PROVIDING LEGAL, ACCOUNTING, OR FINANCIAL SERVICES - Proactive Management, Inc. (PMI) presents the material on this site as general information only. It is not offered as and does not constitute legal advice or opinion, accounting advice or opinion, or financial advice or opinion. It should not serve as a substitute for advice from an attorney, accountant, or financial advisor familiar with the facts of your specific situation. If any provision of this agreement is held to be invalid or unenforceable, the remainder of this agreement shall remain in full force and effect.

8. ASSIGNMENT - This agreement shall be binding upon the heirs, successors and assigns of the parties heretofore mentioned. The customer may not assign it rights or obligating hereunder without the express prior written authorization of Proactive Management, Inc.

9. GOVERNING LAW, JURISDICTIONS, AND COSTS - This sale will be governed by and construed in accordance with the substantive laws in force in the State of Missouri. The courts of St. Louis, Missouri shall have exclusive jurisdiction over all disputes relating to this sale. In the event the customer and Proactive Management, Inc. are unable to resolve the customer dispute, and any collection action, suit or judicial proceeding is commenced, the prevailing party in any such collection action, suit or judicial proceeding shall be entitled to recover its costs and reasonable attorney's fees incurred.

10. TERMS AND CONDITIONS - This sale is subject to the terms and conditions stated herein, which are in lieu of and replace any and all terms and conditions set forth in any documents issued by customer, including and without limitation, customer communications and specifications. In case of conflict between the terms and conditions stated here and those on the face hereof, those on the face hereof shall control. ANY ADDITIONAL, DIFFERENT OR CONFLICTING TERMS AND CONDITIONS ON ANY SUCH DOCUMENT ISSUED BY THE CUSTOMER AT ANY TIME ARE HEREBY OBJECTED TO BY PROACTIVE MANAGEMENT, INC.

Order Acceptance Policy - THE ORDER ACKNOWLEDGEMENT IS NOT A CONTRACT AND DOES NOT CONSTITUTE ACCEPTANCE OF YOUR ORDER, BUT ONLY A RECORD OF YOUR OFFER TO PURCHASE A PARTICULAR ITEM OR SERVICE AT A PARTICULAR PRICE. WHETHER PAYING BY CREDIT CARD OR CHECK, ORDERS MAY NOT BE ACCEPTED BEFORE PAYMENT IS RECEIVED. After you place an order, Proactive Management, Inc.
